Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and FileFlip ("Company," "we," "us," or "our") governing your use of the FileFlip desktop application ("Software" or "FileFlip").

By downloading, installing, or using FileFlip, you agree to be bound by these Terms. If you do not agree to these Terms, do not download, install, or use the Software.

1. Definitions

• "Software" refers to the FileFlip desktop application, including all updates, upgrades, and related documentation.
• "License" refers to the right to use the Software as granted under these Terms.
• "User Content" refers to any files, documents, images, audio, video, or other materials you process using the Software.
• "Third-Party Components" refers to open-source software or libraries incorporated into or used alongside the Software.

2. License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the Software on devices you own or control
• Use the Software for personal or commercial file conversion purposes
• Receive and install updates to the Software as they become available

License Type: This is a perpetual license for the version purchased. Your one-time payment of $12.99 USD (or equivalent) grants you lifetime access to the Software, including all future updates, at no additional cost.

Number of Devices: You may install and use the Software on multiple devices you personally own, subject to the licensing terms of the app store through which you purchased the Software.

3. License Restrictions

You agree NOT to:

• Copy or Distribute: Copy, distribute, sell, resell, rent, lease, lend, sublicense, or otherwise transfer the Software or your license to any third party
• Modify: Modify, adapt, translate, or create derivative works based on the Software
• Reverse Engineer: Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law
• Remove Notices: Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
• Circumvent: Circumvent, disable, or interfere with any security features or license verification mechanisms
• Illegal Use: Use the Software for any unlawful purpose or to process files you do not have the legal right to convert
• Harmful Use: Use the Software to process malware, viruses, or other harmful content
• Misrepresent: Misrepresent the Software as your own product or service

4. Intellectual Property Rights

Our Rights: FileFlip and all associated intellectual property rights, including but not limited to copyrights, trademarks, trade secrets, and patents, are and shall remain the exclusive property of FileFlip. These Terms do not grant you any rights to our trademarks, logos, domain names, or other brand features.

Your Rights: You retain all rights, title, and ownership of your User Content. We claim no ownership rights over files you process using the Software. Since all processing occurs locally on your device, we never have access to your User Content.

Feedback: If you provide us with feedback, suggestions, or ideas regarding the Software, you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use such feedback for any purpose without compensation to you.

5. Third-Party Components

The Software may incorporate or require third-party open-source components, including but not limited to:

• FFmpeg: Used for audio and video conversion (licensed under LGPL/GPL)
• Various Rust Crates: Open-source libraries used for image and document processing

These components are subject to their respective open-source licenses. By using FileFlip, you agree to comply with the terms of these licenses. Copies of applicable licenses are available upon request.

We are not responsible for third-party components and provide them "as is" without warranty.

6. User Responsibilities

You are solely responsible for:

• Ensuring you have the legal right to convert any files you process
• Compliance with all applicable laws regarding your use of the Software
• Maintaining backups of your original files before conversion
• The security of devices on which the Software is installed
• Any consequences arising from your use of converted files

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SOFTWARE WILL MEET YOUR SPECIFIC REQUIREMENTS
• WARRANTIES THAT THE SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• WARRANTIES THAT THE RESULTS OBTAINED FROM THE SOFTWARE WILL BE ACCURATE OR RELIABLE
• WARRANTIES THAT ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED
• WARRANTIES REGARDING THE QUALITY OF ANY CONVERTED FILES

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FILEFLIP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SOFTWARE
• DAMAGES RESULTING FROM ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR FILES
• DAMAGES RESULTING FROM ERRORS, MISTAKES, OR INACCURACIES IN CONVERTED FILES
• DAMAGES RESULTING FROM THIRD-PARTY CONDUCT OR CONTENT

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE (USD $12.99 OR EQUIVALENT).

Some jurisdictions do not allow limitations on implied warranties or exclusion of liability for certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless FileFlip and its officers, directors, employees, agents, and licensors from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use of the Software
• Your violation of these Terms
• Your violation of any rights of a third party, including intellectual property rights
• Your User Content or the files you process using the Software

10. Refund Policy

Refunds are handled according to the policies of the app store through which you purchased FileFlip:

• Microsoft Store: Microsoft Store Refund Policy
• Mac App Store: Apple App Store Refund Policy
• Snap Store: Contact Canonical support for refund inquiries

We do not process refunds directly. All refund requests must be submitted through the respective app store.

11. Updates and Modifications

Software Updates: We may release updates, upgrades, or new versions of the Software from time to time. These updates may be required to continue using certain features. Updates are included in your license at no additional cost.

Terms Modifications: We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last Updated" date at the top of this page
• For material changes, we may provide additional notice through the Software or our website
• Your continued use of the Software after changes become effective constitutes acceptance of the revised Terms

If you do not agree to modified Terms, you must stop using the Software.

12. Termination

Your Rights: You may terminate this agreement at any time by uninstalling and ceasing to use the Software.

Our Rights: We may terminate or suspend your license immediately, without prior notice, if you breach any provision of these Terms.

Effect of Termination: Upon termination:

• All rights granted to you under these Terms will cease immediately
• You must uninstall and destroy all copies of the Software in your possession
• Sections regarding Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law shall survive termination

13. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which you reside, without regard to conflict of law principles.

Dispute Resolution: Any dispute arising from these Terms or your use of the Software shall be resolved as follows:

• Informal Resolution: Before initiating formal proceedings, you agree to contact us at junomobileapplications@gmail.com to attempt to resolve the dispute informally.
• Binding Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.
• Class Action Waiver: To the extent permitted by law, you agree to resolve disputes individually and waive the right to participate in class actions.

Exceptions: Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights.

14. Export Compliance

The Software may be subject to export control laws and regulations. You agree to comply with all applicable export and re-export restrictions and not to transfer the Software to prohibited countries, entities, or persons.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

16. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of FileFlip.

17. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to when using specific features, constitute the entire agreement between you and FileFlip regarding the Software and supersede all prior agreements, understandings, and representations.

18. Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
